Terms of Service

1. Acceptance of Terms

By accessing or using ByDuty Jobs ("the Platform"), operated by ByDuty Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Description of Service

ByDuty Jobs is a marketplace platform that connects licensed security professionals ("Guards") with businesses and individuals seeking security services ("Employers"). We provide the technology platform and do not directly employ, supervise, or control any Guard listed on the Platform.

3. User Accounts

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Guard Responsibilities

Guards who create profiles on the Platform agree to:

• Provide accurate and truthful information about their qualifications, licenses, certifications, and experience
• Maintain valid and current licenses as required by their state of operation
• Update their profile promptly when any information changes, including license expirations or status changes
• Respond to contact requests in a professional and timely manner
• Not misrepresent their qualifications, experience, or availability

5. Employer Responsibilities

Employers who use the Platform agree to:

• Use the Platform solely for legitimate security staffing purposes
• Provide accurate information about their organization and staffing needs
• Not use Guard contact information obtained through the Platform for any purpose other than discussing potential security assignments
• Comply with all applicable employment laws, including independent contractor regulations
• Conduct their own due diligence when hiring security professionals

6. Verification and Accuracy

While we make reasonable efforts to verify Guard licenses and credentials, we do not guarantee the accuracy, completeness, or validity of any information on the Platform. Employers are responsible for conducting their own verification and background checks before engaging any Guard. The "Verified" badge indicates that we have made efforts to verify certain credentials but does not constitute a guarantee or endorsement.

7. No Employment Relationship

ByDuty Jobs is a marketplace platform only. We do not employ, supervise, direct, or control any Guard. Any working arrangement between a Guard and an Employer is solely between those parties. We are not responsible for the quality, safety, legality, or any other aspect of services provided by Guards to Employers.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose
• Create false or misleading profiles
• Scrape, harvest, or collect user data without authorization
• Interfere with or disrupt the Platform or its servers
• Impersonate any person or entity
• Use automated systems to access the Platform without permission
• Harass, threaten, or intimidate other users

9. Intellectual Property

The Platform and its content, features, and functionality are owned by ByDuty Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our express written permission.

10. Limitation of Liability

To the fullest extent permitted by law, ByDuty Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the twelve months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform with a new "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Davidson County, Tennessee.
